The English version of these terms governs; this translation is provided for convenience.
These Terms of Service ("Terms") govern your access to and use of Kinva AI's website, app, SMS, email, and any other services we offer (the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who Can Use the Services
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to accept these Terms for that business, and "you" in these Terms refers to that business as well as you individually.
2. The Services
Kinva AI provides an AI-powered operations assistant that helps businesses handle inbound calls, texts, emails, and related tasks. We may add, change, or remove features at any time, and we do not guarantee that the Services will be available without interruption or error.
3. Your Account and Responsibilities
You are responsible for:
- Keeping your account credentials confidential and for all activity under your account
- The accuracy of the business information, contact details, and content you provide to us
- Complying with all applicable laws, including those governing telemarketing, texting, and data privacy
- Obtaining any consent required from your own customers or contacts before we act on your behalf
4. Acceptable Use
You agree not to use the Services to:
- Send unsolicited, deceptive, or unlawful messages, including content that is sexual, hateful, or promotes alcohol, firearms, or tobacco to a general audience
- Harass, defraud, or impersonate any person or business
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to the Services or related systems
5. Text Messaging
Where you enable texting, the Services send and receive SMS messages on your behalf, from a number associated with your business. Message and data rates may apply. Message frequency varies based on your business's own activity and the conversations it has with its customers.
Anyone can reply STOP to stop receiving texts from your business's number, and HELP for assistance; both are honored automatically. Text-messaging opt-in data and consent records are never sold or shared with third parties. See our Privacy Policy for how this information is handled.
6. Third-Party and AI Processing
The Services rely on third-party providers, including AI/LLM providers, telephony carriers, and email and calendar platforms, to operate. Your use of the Services is also subject to those providers' own terms where you connect an account (for example, a Google account). See Section 8 of our Privacy Policy for how content is shared with those providers.
7. Intellectual Property
Kinva AI and its licensors own all right, title, and interest in the Services, including the software, branding, and content we provide. You retain ownership of the content you submit through the Services (such as your business information and messages), and you grant us the license needed to operate the Services on your behalf.
8. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, Kinva AI is not liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Services, even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify and hold Kinva AI harmless from any claims, damages, or expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.
11. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe your use poses a risk to us, our other customers, or their contacts. Sections that by their nature should survive termination (such as Intellectual Property, Disclaimers, and Limitation of Liability) continue to apply.
12. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new Terms on our website or app or by email. Your continued use of the Services after any changes means you accept those changes.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles.
